1.- Scope of application
. These general conditions of sale shall apply to any contract of sale or delivery between the parties, unless they have agreed otherwise in writing. Celux Iluminación retains the right to modify and edit the technical tariffs or prices without prior notice to the customer. Modification by Celux Illumination of these conditions of sale shall not affect contracts or offers already concluded.

2.- Place
. Unless otherwise agreed by Celux Iluminación in the order confirmation, the place of performance of all contractual obligations shall be Spain, and delivery of the goods shall be made as agreed by both parties.

3.- Delivery time

The delivery period shall commence as soon as the order is confirmed by Celux. The delivery period will be reasonably extended if reasons beyond the control of Celux Iluminación prevent the delivery date from being met. Likewise, the delivery period shall be extended if the Buyer changes the original order or falls behind in its contractual obligations, especially if the Buyer has delayed the delivery of the necessary documents or has delayed the agreed payments.

4.- Price
. All prices shall be quoted in Euros, without any deduction of any kind, unless otherwise agreed. The prices in the tariffs may be modified without prior notice, and the Buyer shall have the right to withdraw from the contract if this does not suit him within 7 days following notification of the new tariffs. The prices do not include taxes, duties or other charges, whether of a general or special nature, which shall be borne by the Buyer, unless otherwise agreed in writing.

5.- Form of payment

It shall be established according to the agreements reached with each client, with the first order being paid in cash and the rest pending approval by the financial department. The agreed payment dates must be met by the Buyer even if transport or delivery is delayed. delivery is delayed due to reasons beyond the Seller's control.

6.- Transport and shipment of material

All shipments from Celux, for a value equal to or greater than 600 Euros will be Carriage Paid, for shipments within the Spanish market, in peninsular territory. The transport will be carried out, unless previously agreed, at the risk and expense of the purchaser, Celux Iluminación being exempt from any responsibility for any damage or partial or total deterioration caused during transport. We advise you to examine and formulate the opportune claims to the transport agency at the moment of receiving the goods.

7.- Guarantee
. The Seller guarantees exclusively that on the date of delivery the products will be in conformity with the agreed specifications. The products are sold without any further warranties other than those given by the manufacturer of the product and without any promise on the part of Celux with regard to their processing possibilities, potential applications and marketability. Celux Illumination shall be liable to repair or replace any goods which, before expiry of the warranty period, prove to be unusable due to bad materials, faulty design or poor workmanship. If a delivery remains defective despite repair or replacement, the Seller shall be entitled to take back the defective goods against reimbursement of the payments received. Excluded from the Seller's warranty and liability are all deficiencies beyond the Seller's control, especially if this is as a result of normal wear and tear, false information of the Buyer, improper maintenance, failure to observe the operating instructions, use of any unsuitable materials, influence of chemical or electrolytic action, etc. If the Buyer claims that a warranty in accordance with the technical specifications of the goods is not fulfilled, the warranty shall only be valid if the Seller has the opportunity to prove that the warranted parameters are not fulfilled. The guarantee by the Seller is subject to the timely fulfilment of the payment conditions agreed with the Buyer.
